Tyde Affiliate Program Terms & Conditions

By submitting the form and participating in the Tyde Wellness Affiliate Program (“Program”), you (“Affiliate”) agree to the following terms and conditions with Tyde Wellness, LLC (“Company”).
1. INTRODUCTION
Tyde Wellness, LLC operates a health and wellness platform that provides consumers with access to wellness resources, coaching, and related services. The Company does not provide medical services. All medical services are provided independently by Tyde Medical Center LLC or other licensed medical providers. Affiliates have no relationship with Tyde Medical Center LLC and may not engage in any activities that involve the solicitation or referral of patients for medical care. This Agreement outlines the terms under which Affiliates promote Tyde Wellness in exchange for marketing compensation. Affiliates are compensated for marketing activity only—not for patient referrals, medical services, or prescriptions.
2. DEFINITIONS
An Affiliate is an individual or entity approved to participate in the Tyde Wellness Affiliate Program. A New Customer Subscription refers to a newly paid, non-refundable subscription to Tyde Wellness services, referred through the official affiliate tracking system. Fraudulent Activity includes any behavior that misrepresents or manipulates customer activity, such as spam, duplicate accounts, or misleading promotions. Marketing Guidelines are the policies and standards set by Tyde Wellness to ensure ethical promotion.
3. COMPENSATION AND PAYMENT STRUCTURE
Affiliates are compensated only for marketing activity that results in a valid New Customer Subscription. The Company will not issue compensation based on medical services, medical consultations, or medical revenue.
Compensation Terms:

$75 for each new customer who subscribes to a paid Tyde Wellness membership through an approved affiliate link.

Affiliates who generate four new paid subscriptions in a single month may earn a free monthly subscription and may retain it each month they maintain four or more new paid sign-ups.
4. PAYMENT TERMS
Affiliate payments are processed on the 15th of each month for the previous month’s approved referrals, via direct deposit. No payment will be made for refunds, chargebacks, fraudulent sign-ups, or customers who cancel before meeting the minimum active period as determined by the Company. Affiliates are responsible for reporting and paying any applicable taxes on their earnings. The Company does not withhold taxes on behalf of Affiliates.
5. AFFILIATE RESPONSIBILITIES
Affiliates may promote Tyde Wellness through social media platforms (e.g., Instagram, TikTok, LinkedIn), blog posts, newsletters, websites, and personal referrals. Affiliates must comply with all applicable laws, including FTC Endorsement Guidelines, and must clearly disclose their relationship with Tyde Wellness when required.
Prohibited actions include false or misleading advertising, unauthorized use of paid ads with Tyde Wellness branding, use of spam or robocalls, and suggesting medical guarantees or impersonating healthcare professionals.
6. RELATIONSHIP OF THE PARTIES
The Affiliate operates as an independent contractor and is not an employee, agent, or representative of the Company. Nothing in this Agreement creates a joint venture or agency relationship. Affiliates have no authority or role in medical decisions or services, which are handled entirely by independent providers.
7. TERM AND TERMINATION
This Agreement remains in effect upon acceptance and until either party terminates it. Either party may terminate the Agreement with fourteen (14) days’ notice. The Company may immediately terminate the Agreement if the Affiliate violates marketing guidelines, engages in unethical or deceptive practices, or breaches confidentiality. Upon termination, final payments for approved referrals will be issued, minus any adjustments for refunds or invalid activity.
8. CONFIDENTIALITY AND DATA PROTECTION
Affiliates agree not to disclose or misuse any confidential information provided by the Company. Affiliates must not collect or store any customer medical data and must comply with all applicable privacy laws.
9. INDEMNIFICATION AND LIABILITY
Affiliates agree to indemnify and hold harmless the Company from any claims or liabilities arising from their marketing activities. The Company shall not be liable for any indirect or consequential damages related to this Agreement.
10. DISPUTE RESOLUTION
All disputes will be addressed through mediation first. If mediation fails, the dispute will be resolved through binding arbitration in Massachusetts under the rules of the American Arbitration Association.
11. MISCELLANEOUS
This Agreement is governed by the laws of the State of Massachusetts. The Company may update the terms with thirty (30) days’ notice. This Agreement represents the entire agreement between the parties and supersedes any prior understanding.
12. ACCEPTANCE
By submitting the affiliate registration form, you acknowledge that you have read, understood, and agree to all terms of the Tyde Wellness Affiliate Agreement.
