Membership Terms

1. Introduction
This Agreement sets forth the terms of your membership in Tyde Wellness, LLC’s Program (the “Program”). Tyde Wellness, LLC (“Tyde Wellness,” “we,” or “us”) is a Management Services Organization (MSO) that provides administrative support services to independent licensed healthcare providers (“Healthcare Providers”) who deliver medical services to you.
Tyde Wellness does not provide medical services, diagnoses, treatments, or prescriptions. Medical services, including any prescription medications, are provided solely by independent Healthcare Providers contracted through the Program.
By signing this Agreement, you acknowledge that Tyde Wellness is not a medical provider and that your healthcare services will be delivered by independent, licensed professionals.
2. Not Health Insurance
THIS AGREEMENT DOES NOT CONSTITUTE HEALTH INSURANCE AND DOES NOT SATISFY ANY HEALTH INSURANCE MANDATE REQUIRED BY FEDERAL OR STATE LAW, INCLUDING THE AFFORDABLE CARE ACT.
Tyde Wellness does not provide medical care or guarantee access to medical treatment. Medical services are solely provided by independent Healthcare Providers. This Agreement covers only administrative and coordination services, and you are solely responsible for payment of medical services received through the Program.
3. Program Services
a) Services Provided
In exchange for the Membership Fee, Tyde Wellness facilitates:
Access to independent Healthcare Providers for medical weight loss consultations and related services
Administrative and scheduling support for healthcare services
Technology services (patient portal access, communication tools, etc.)
All medical decisions, prescriptions, and treatments are solely the responsibility of the Healthcare Providers.
b) Provider Availability
Tyde Wellness does not guarantee provider availability at all times. Generally, Healthcare Providers respond within 24 hours on business days and 48 hours on weekends/holidays.
c) No Emergency Care
Tyde Wellness does not provide emergency medical services. In case of an emergency, dial 911 immediately.
4. Fees and Billing
a) Membership Fees
Your Membership Fee (“Membership Fee”) is due in advance on the same day each month as your original sign-up date (e.g., if you sign up on April 2, you are billed on May 2, June 2, etc.).
The Membership Fee is non-refundable once medications have been ordered.
b) Fee Changes
Tyde Wellness reserves the right to modify its Membership Fees. You will be given 30 days’ notice before any fee change takes effect.
c) Valid Payment
You must keep a valid credit/debit card on file. If a payment fails, you must update your payment information promptly. Failure to update your payment method may result in account suspension.
d) Cancellation Policy
You may cancel your membership by contacting Tyde Wellness through the patient portal or by emailing team@tydewellness.com. Cancellations must be submitted at least two (2) weeks before the next billing date to avoid being charged for the upcoming month.
5. No Insurance Accepted
Tyde Wellness does not accept any form of health insurance, Medicare, or Medicaid.
Your Membership Fee does not guarantee reimbursement from any insurance provider.
If you choose to submit claims to your insurance provider, it is your sole responsibility to seek reimbursement.
6. Term and Termination
a) Term
This Agreement begins when your Membership Fee is received and remains in effect until canceled by you or terminated by Tyde Wellness.
b) Termination
Either party may terminate this Agreement with 30 days’ written notice. You will have access to Program services until the termination date.
7. Electronic Communications
By providing your email and phone number, you consent to receive electronic communications from Tyde Wellness. This includes:
Appointment reminders
Billing notifications
Service-related updates
Standard messaging and data rates may apply.
8. Privacy and Confidentiality
Tyde Wellness complies with applicable privacy laws but does not store or control PHI (Protected Health Information).
All medical records and PHI are maintained by independent Healthcare Providers under HIPAA regulations. For medical record requests, contact your Healthcare Provider directly.
9. Governing Law and Venue
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware.
Any legal disputes must be resolved in the state or federal courts located in Delaware, unless otherwise required by law.
10. Severability and Waiver
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force.
Failure to enforce any provision shall not be considered a waiver of that provision.
