Membership Terms

This Membership Agreement (“Agreement”) outlines the terms under which you (“Patient,” “you,” or “your”) participate in the Tyde Medical Center Membership Program (“Program”) administered by Tyde Medical Center, LLC (“Tyde Medical Center,” “we,” or “us”).
Tyde Medical Center, LLC is a physician-owned medical practice that contracts with Tyde Wellness, LLC, a Management Services Organization (“MSO”), to provide non-clinical administrative, operational, and technology support.
By enrolling in the Program, you acknowledge that Tyde Medical Center, LLC bills you for your membership and related services, while Tyde Wellness, LLC provides administrative and support functions only.
1. Program Overview
By enrolling in the Program, you gain access to:

Licensed Healthcare Providers employed or contracted by Tyde Medical Center, LLC;

Administrative, scheduling, and coordination support from Tyde Wellness, LLC;

Patient communication and technology tools (e.g., telehealth platform, portal, secure messaging);

Optional insurance assistance under certain membership plans (e.g., Transform plan).
All medical services, including prescriptions, diagnoses, and treatment decisions, are provided exclusively by Healthcare Providers affiliated with Tyde Medical Center, LLC.
2. Not Health Insurance
This Agreement is not health insurance and does not meet any requirement for health coverage under state or federal law.
Tyde Medical Center does not guarantee payment or reimbursement from any insurer.
If you choose to submit claims to your insurer, it is your responsibility to do so.
3. Recurring Fees and Billing
a) Recurring Billing Authorization
By enrolling, you authorize Tyde Medical Center to automatically charge your card on file for the agreed-upon Membership Fee on a recurring basis, at the interval specified for your plan (for example, every 4 weeks or every calendar month).
Charges will continue automatically until you cancel in accordance with Section 4. Each charge authorizes Tyde Medical Center to store and securely use your payment method for recurring billing.
Your Membership Fee covers the ongoing coordination, technology, and medical oversight provided through the Program.
b) Payment Method Requirements
You agree to maintain a valid credit or debit card on file at all times. If a charge fails, you must update your payment information promptly to prevent suspension of services.
c) Fee Adjustments
Tyde Medical Center may adjust Membership Fees with 30 days’ advance notice via email. Continued participation after notice constitutes acceptance of the new fee.
4. Cancellations and Refunds
a) How to Cancel
You may cancel your membership anytime before your renewal date by either:

Following the steps in your patient portal (Healthie Cancellation Guide), or

Emailing team@tydewellness.com with your full name and request to cancel.
Cancellations must be received before the renewal charge is processed to avoid being billed for the next cycle.
b) Timing Requirement
If your cancellation request is received on or after your renewal date, the charge for that cycle will not be automatically refunded and cancellation will apply to the next billing period.
c) Refund Requests (After Renewal)
If your plan has renewed and you wish to request a refund, you may do so by contacting team@tydewellness.com.
Refunds are granted at the discretion of Tyde Medical Center and may be reduced by applicable costs already incurred, including but not limited to:

Credit card or refund processing fees;

Medication costs if a prescription was filled, ordered, or shipped;

Insurance prior authorization fees if such work has been initiated or completed.
Refunds will only be processed after applicable deductions are made.
d) Prescription Medication Policy
All prescription medication sales are final.
Due to federal and state regulations, medications cannot be returned, reused, or refunded once dispensed — even if unopened or unused.
e) Transform Plan Exception
If you are enrolled in the Transform plan and Tyde assists in determining insurance coverage:

If coverage is denied or your copay is higher than expected and you elect not to proceed, you may request a refund of your Membership Fee;

The $50 prior authorization processing fee remains non-refundable.
5. No Emergency or Urgent Care
Tyde Medical Center does not provide emergency or urgent medical services.
If you experience a medical emergency, call 911 or go to your nearest emergency department immediately.
6. Term and Termination
a) Term
This Agreement begins on the date of your first payment and renews automatically at your plan’s billing interval until canceled by you or terminated by Tyde Medical Center.
b) Termination by Tyde Medical Center
Tyde Medical Center may terminate your membership at any time, with or without cause, by providing written notice.
You will retain access through the end of your current paid period unless termination is for misuse, fraud, or nonpayment.
7. Communications and Consent
By enrolling, you consent to receive communications from Tyde Medical Center and Tyde Wellness, including:

Appointment reminders

Billing and renewal notifications
-
Program and patient care updates
You may opt out of non-essential communications. Standard messaging and data rates may apply.
8. Privacy
Tyde Medical Center complies with applicable privacy and telehealth laws, including HIPAA.
All Protected Health Information (“PHI”) and medical records are maintained by Tyde Medical Center.
Administrative and communication support may be provided by Tyde Wellness, LLC, which operates under a HIPAA-compliant Business Associate Agreement (BAA).
To request access to your medical records, contact your Provider or Tyde Medical Center directly.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to conflict of laws principles.
Any disputes shall be resolved in the state or federal courts located in Massachusetts, unless otherwise required by law.
10. Entire Agreement; Severability
This Agreement constitutes the full understanding between you and Tyde Medical Center.
If any provision is found invalid or unenforceable, the remaining provisions shall remain in effect.
Failure to enforce any provision shall not be considered a waiver of that provision.
