1. Introduction and Acceptance of Terms
Tyde Wellness, LLC (“Tyde Wellness,” “we,” “us,” or “our”) owns and operates the website located at www.tydewellness.com (the “Website”) and may now or in the future own and operate mobile applications, subdomains, or affiliated digital platforms (collectively, the “Platform”). The Platform provides access to certain wellness-related services, including administrative support and coordination of medical weight loss, hormone therapy, nutrition coaching, and related wellness treatments (the “Services”).
By accessing or using the Platform or Services, including browsing the Website, creating an account, purchasing a membership, or engaging with our customer support, you acknowledge and agree to be legally bound by these Terms and Conditions (the “Agreement”). If you do not agree to be bound by this Agreement in its entirety, you are expressly prohibited from accessing or using the Services.
Tyde Wellness reserves the right to modify or update this Agreement at any time in its sole discretion. Any modifications to these terms shall be effective immediately upon posting to the Platform. Your continued use of the Services after such modifications constitute your acceptance of the revised terms. You are encouraged to review this Agreement periodically to ensure that you are aware of any updates or changes.
2. No Medical Services Provided by Tyde Wellness, LLC
Tyde Wellness, LLC is not a licensed medical provider and does not engage in the practice of medicine, nursing, or any other healthcare profession. Tyde Wellness does not employ or supervise physicians, nurse practitioners, physician assistants, pharmacists, or any other licensed healthcare providers. The role of Tyde Wellness is strictly limited to acting as a Management Services Organization (MSO) that contracts with independent, third-party medical groups and licensed healthcare providers (collectively, “Healthcare Providers”) who are responsible for providing medical consultations, prescribing medications, and delivering healthcare services.
By using the Services, you expressly acknowledge and agree that any medical services facilitated through the Platform are provided solely by independent Healthcare Providers, who are responsible for all medical decisions, diagnoses, prescriptions, treatments, and healthcare recommendations. Tyde Wellness does not control, direct, or interfere with the professional judgment of any Healthcare Provider, nor does it guarantee the quality, appropriateness, or effectiveness of any medical treatment or service provided by such Healthcare Providers.
Nothing contained in this Agreement, on the Platform, or within any communications from Tyde Wellness shall be construed as medical advice or a substitute for professional medical evaluation, diagnosis, or treatment by a licensed provider. Tyde Wellness does not establish, and you acknowledge that you are not entering into, a doctor-patient or healthcare provider-patient relationship with Tyde Wellness. Any provider-patient relationship that may arise is solely between you and the independent Healthcare Provider you consult.
If you are experiencing a medical emergency, you must immediately call 911 or seek care at the nearest emergency facility.
3. Third-Party Beneficiary Status of Healthcare Providers
The Healthcare Providers, pharmacies, and laboratories that provide services facilitated through the Platform shall be considered third-party beneficiaries of this Agreement. You agree that all claims arising from medical treatment, prescriptions, or laboratory services must be directed to the responsible Healthcare Provider or third-party vendor and not to Tyde Wellness, LLC.
4. Eligibility and Limited Availability of Services
The Services are available only to individuals located in states where Tyde Wellness is authorized to operate. Tyde Wellness reserves the right to deny access to any individual based on state-specific telehealth laws and regulatory requirements. You are responsible for ensuring that you are physically located in a jurisdiction where the Services are legally available before engaging with the Platform.
To use the Services, you must be at least eighteen (18) years of age and possess the legal capacity to enter into a binding agreement. If you are using the Services on behalf of a minor, you must be the parent or legal guardian of the minor and provide consent for their use of the Services.
5. Financial Responsibility and Medicare/Medicaid Exclusion
Tyde Wellness and its affiliated Healthcare Providers do not accept Medicare, Medicaid, or any other federal or state healthcare program. You acknowledge that neither you nor Tyde Wellness, the Healthcare Providers, nor any third-party pharmacies or laboratories will submit a claim for reimbursement to any government-sponsored health insurance program.
By agreeing to use the Services, you expressly waive any right to file a claim for reimbursement for any costs associated with medical consultations, medications, or laboratory services obtained through the Platform.
6. Payment, Subscription Renewal, and Cancellations
Tyde Wellness operates on a membership-based and fee-for-service model. By purchasing a membership or any other service, you agree to pay all applicable fees as disclosed at the time of purchase.
Membership fees are billed on the same calendar day each month. For example, if you subscribe on April 2nd, your next payment will be automatically charged on May 2nd, and each subsequent month thereafter.
Users may cancel their membership at any time by submitting a cancellation request at least two (2) weeks prior to their renewal date. Cancellations must be submitted through the patient portal or by emailing team@tydewellness.com.
Refund Policy: Refunds are not provided after medications have been ordered. Once a prescription has been processed by a third-party pharmacy, no refunds or reversals will be issued.
7. Prescription Transfers and Pharmacy Responsibilities
Healthcare Providers may prescribe medications based on their clinical judgment and determination of medical necessity. Tyde Wellness does not dispense, prescribe, or fulfill medications. If a Healthcare Provider prescribes a medication, it will be fulfilled by an independent third-party pharmacy. Prescriptions may be transferred between pharmacies at the discretion of the prescribing Healthcare Provider.
8. SMS and Electronic Communication Consent
By using the Services, you consent to receive electronic communications, including but not limited to emails, text messages, and notifications. These communications may include appointment reminders, billing notifications, service updates, and promotional content. Standard messaging rates may apply.
Users may opt out of promotional SMS messages by following the opt-out instructions provided in the message. However, certain healthcare-related communications may still be required and cannot be opted out of.
9. Dispute Resolution, Arbitration, and Class Action Waiver
All disputes arising from or relating to these Terms shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in Boston, Massachusetts. By using the Services, you waive any right to a jury trial or participation in a class action lawsuit.
